TERMS OF SERVICE FOR CLINICIAN USERS

These Terms of Service ("Terms") govern your access to and use of the Therapy Coverage website, platform, and related services ("Therapy Coverage," "Platform," "we," "our," or "us"). By creating an account, accessing the Platform, or using any Therapy Coverage services, you ("Clinician," "you," or "User") agree to be bound by these Terms. If you do not agree, you may not use the Platform.
Therapy Coverage is a technology enabled facilitation platform designed to connect independently licensed mental health clinicians seeking temporary client coverage with clinicians who may be available to provide such coverage. Therapy Coverage does not provide clinical services, supervise care, participate in treatment, or make clinical determinations.
Therapy Coverage is not a mental health provider, clinic, group practice, managed care entity, staffing agency, employer, or joint venture partner. The Platform does not provide therapy, determine clinical appropriateness, employ clinicians, supervise clinicians, bill for clinical services, or control treatment decisions.
Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, or contractor relationship between Therapy Coverage and any Clinician.
Clinicians use the Platform as independent licensed professionals. You are not an employee, agent, contractor, or representative of Therapy Coverage.
Clinicians are solely responsible for all aspects of client care, including treatment decisions, documentation, informed consent, crisis management, continuity of care, legal compliance, and HIPAA compliance. Therapy Coverage has no involvement in the therapeutic relationship.
You represent and warrant that you hold an active, unrestricted professional license in each jurisdiction in which you offer services and that you are legally authorized to provide telehealth or in person services in those jurisdictions.
You agree to immediately notify Therapy Coverage of any investigation, disciplinary action, suspension, restriction, or revocation of your license.
You represent and warrant that you maintain active professional liability insurance with coverage limits appropriate to your jurisdiction and scope of practice. You agree to maintain such coverage during any coverage engagement initiated through the Platform.
Therapy Coverage is designed as a self reported profile platform. We do not independently verify licensure status, disciplinary history, identity, malpractice coverage, background checks, or qualifications.
We make no representations or warranties regarding the accuracy, completeness, or ongoing validity of information provided by clinicians.
All Users are solely responsible for independently verifying the qualifications and suitability of clinicians with whom they engage.
Therapy Coverage does not guarantee matches, client volume, referrals, income, placement, or specific results. We do not guarantee that a connection will result in a finalized coverage agreement.
Therapy Coverage is not responsible for clinical outcomes, financial arrangements, documentation practices, or disputes between clinicians or clients.
Therapy Coverage may charge match fees, transaction fees, or other platform fees as disclosed separately. Clinicians are responsible for all applicable taxes.
If a match or professional introduction occurs through the Platform, Clinicians agree not to circumvent Therapy Coverage to avoid applicable platform fees. Any professional relationship initiated through Therapy Coverage remains subject to applicable platform fees for the duration of that coverage engagement.
This obligation survives termination of the account.
Therapy Coverage reserves the right to suspend or terminate accounts for nonpayment, fee avoidance, or circumvention and may pursue collection of unpaid fees to the fullest extent permitted by law.
Clinicians agree to provide accurate information, maintain licensure and insurance, uphold professional ethics, refrain from uploading Protected Health Information, verify eligibility of other clinicians before engaging, communicate professionally, and comply with all applicable laws and regulations.
Therapy Coverage is designed not to collect, store, or process Protected Health Information. Clinicians agree not to upload PHI to the Platform.
Clinicians remain solely responsible for compliance with HIPAA, state privacy laws, and confidentiality obligations.
Therapy Coverage does not guarantee uninterrupted, secure, or error free operation of the Platform. We are not liable for technical outages, system failures, data loss, cyber incidents, or unauthorized access beyond reasonable security measures.
Therapy Coverage is not responsible for disputes between clinicians. We may, but are not obligated to, facilitate communication, suspend accounts, or intervene in our sole discretion.
Nothing on the Platform constitutes clinical, legal, ethical, or supervisory advice. All decisions are made independently by the Clinician.
To the fullest extent permitted by law, Therapy Coverage shall not be liable for personal injury, malpractice claims, client harm, loss of income, lost business opportunity, platform errors, or disputes between clinicians.
Maximum liability shall not exceed the total fees paid by the Clinician to Therapy Coverage in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Therapy Coverage and its owners, officers, employees, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising out of or relating to your clinical practice, professional conduct, legal violations, negligence, breach of these Terms, profile inaccuracies, or interactions with other clinicians or clients.
Any dispute arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration in the State of California.
You waive the right to a jury trial and agree not to participate in any class action or representative proceeding.
These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.
Therapy Coverage may suspend or terminate any account for violations of these Terms, fraud, inappropriate conduct, legal or ethical risk, fee avoidance, or nonpayment.
Therapy Coverage may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
Sections relating to limitation of liability, indemnification, dispute resolution, non circumvention, and fee enforcement shall survive termination of these Terms.
By creating an account or using the Platform, you affirm that you are an independent licensed clinician, solely responsible for client care, and that Therapy Coverage is a matching platform only and bears no liability for clinical services or clinician conduct.
